Terms of engagement

These terms govern engagements accepted by Qantid. They are summarised here and reproduced in full in the engagement letter issued for each engagement. Where the two differ, the engagement letter governs.

Scope

Each engagement is defined by its intake submission and, where applicable, the accepted quote. Work outside that scope is not performed without a written variation and, where it carries a cost, a new order you approve before work begins.

What is not included

Qantid is not a law firm and does not provide legal advice or legal opinions. Qantid is not a registered firm of auditors and does not issue statutory audit opinions. Qantid is not a certification body, a Qualified Security Assessor, an Approved Scanning Vendor, or a licensed Data Protection Compliance Organisation.

Where a deliverable requires a signature from an accredited party, that signature is provided by a named partner firm identified on the engagement, and the accreditation is theirs rather than ours. This is stated on the service page before purchase.

Your responsibilities

• Provide accurate and complete information. Our findings rest on what you give us, and an assessment based on incomplete evidence will say so in its assumptions rather than fill the gap.
• Respond to document requests within the stated period. Delay to a delivery date caused by outstanding requests moves the date.
• For technical testing, provide authorisation from a person with authority to give it, and proof of ownership for every target.

Fees, tax and payment

• Class A and Class B engagements are payable in full in advance.
• Class C engagements are payable 40% on engagement, 40% at an agreed milestone and 20% on delivery, unless the quote states otherwise.
• Class D retainers run for a minimum of twelve months, invoiced monthly in advance or annually in advance at a 10% discount.
• Quotes are valid for 30 days from issue.
• Nigerian invoices carry VAT at 7.5%. Where you are required to deduct withholding tax, the invoice states the expected deduction and the net receipt, and you provide the credit note.

Revisions

Two revision rounds are included with each deliverable. Further rounds are chargeable. Corrections of factual error on our part are never chargeable and never count against the included rounds.

Cancellation and refunds

• Full refund if cancelled before work commences.
• 50% refund if cancelled during fieldwork.
• No refund once a draft deliverable has been issued.

Confidentiality

Engagements are conducted under mutual non-disclosure by default. Information you provide is used only to deliver the engagement and is handled as described on the trust page.

Independence

We do not provide assurance over a framework we designed or implemented for you. Where a requested engagement would create that conflict, it is declined or restructured.

Liability

Liability is limited as set out in the engagement letter. Deliverables are prepared for the client named in the engagement and for the purpose stated in it, and no duty is owed to any third party who obtains them.
